Welcome to HookFlix. These Terms of Service (“Terms”) govern your access to and use of the websites, mobile applications, streaming services, creator tools, AI content tools, IP marketplace, payment services, and other products and services provided by HookFlix AI Inc. (“HookFlix,” “we,” “us,” or “our”).

By accessing or using HookFlix, you agree to these Terms. If you do not agree, please do not use the Services.

1. The Services

HookFlix provides an AI-powered entertainment platform that may include:

Short drama streaming;

AI-assisted script, image, audio, video, subtitle, and content generation tools;

Creator Studio and creator management tools;

IP licensing and IP marketplace services;

Paid episodes, subscriptions, credits, memberships, and in-app purchases;

Advertising, promotion, analytics, and monetization services;

Community, commenting, sharing, and user interaction features.

We may modify, suspend, or discontinue any part of the Services at any time.

2. Eligibility

You must be at least 13 years old, or the minimum age required by applicable law, to use HookFlix.

If you are under the age of majority in your country or region, you may use the Services only with the consent and supervision of a parent or legal guardian.

By using HookFlix, you represent that you are legally able to enter into these Terms.

3. Account Registration

You may need to create an account to access certain features.

You agree to:

Provide accurate, current, and complete information;

Keep your account information updated;

Keep your password and login credentials confidential;

Be responsible for all activities under your account;

Notify us immediately of any unauthorized access or security breach.

We may suspend or terminate accounts that contain false information, violate these Terms, or create legal or security risks.

4. User Content

“User Content” means any content you upload, submit, create, publish, transmit, display, list, or otherwise make available through HookFlix, including scripts, videos, images, audio, subtitles, comments, messages, creator profiles, IP listings, project descriptions, and AI-generated content.

You retain ownership of your User Content. However, by submitting User Content to HookFlix, you grant HookFlix a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify, adapt, publish, distribute, display, promote, monetize, analyze, and otherwise use your User Content for the purpose of operating, improving, marketing, and providing the Services.

You represent and warrant that:

You own or have all necessary rights to your User Content;

Your User Content does not infringe any copyright, trademark, privacy, publicity, contract, or other rights;

Your User Content does not violate any law or these Terms;

You have obtained all required permissions, releases, licenses, and consents.

HookFlix may remove or restrict User Content at any time if we believe it violates these Terms, applicable law, third-party rights, or platform policies.

5. AI-Generated Content

HookFlix may provide AI-assisted tools for generating or editing scripts, images, audio, video, subtitles, voices, characters, scenes, marketing materials, or other content.

You understand and agree that:

AI outputs may not be unique;

Similar or identical outputs may be generated for other users;

HookFlix does not guarantee that AI outputs are accurate, lawful, original, copyright-free, or suitable for commercial use;

You are responsible for reviewing, editing, and legally clearing AI-generated content before use, publication, licensing, or monetization;

You must not use AI tools to create unlawful, infringing, deceptive, harmful, defamatory, sexually exploitative, hateful, or abusive content.

HookFlix may restrict, review, remove, or refuse AI-generated content that violates these Terms or applicable law.

6. Content Rights and Licensing

You are solely responsible for ensuring that any content you upload, license, sell, distribute, or monetize through HookFlix has proper rights clearance.

This includes rights related to:

Scripts and stories;

Music and sound recordings;

Images and artwork;

Performers and voice actors;

Trademarks and brand names;

Characters and likenesses;

AI-generated materials;

Third-party platform content;

Distribution, territory, language, and monetization rights.

HookFlix does not guarantee the validity, ownership, or legal status of any content or IP listed by users or partners.

7. IP Marketplace

HookFlix may allow users, creators, studios, or rights holders to list, license, buy, sell, or trade intellectual property rights.

Unless otherwise stated in a separate written agreement, HookFlix acts only as a platform provider and is not a party to transactions between users.

Users are responsible for:

Verifying ownership and chain of title;

Reviewing licensing terms;

Confirming territory, duration, exclusivity, language, and media rights;

Paying applicable fees, taxes, and commissions;

Complying with all applicable laws and contracts.

HookFlix may remove listings, suspend transactions, or restrict accounts if we suspect fraud, infringement, misrepresentation, or legal risk.

8. Payments, Subscriptions, and Credits

Certain features may require payment, including subscriptions, paid episodes, in-app purchases, credits, creator tools, AI generation services, advertising services, IP marketplace services, or other paid products.

By purchasing a paid Service, you agree to pay all applicable fees, taxes, and charges.

Unless otherwise required by law or expressly stated by HookFlix:

Payments are non-refundable;

Credits, coins, tokens, or virtual items have no cash value;

Virtual items are licensed, not sold;

Unused credits may expire according to platform rules;

HookFlix may change pricing, packages, and payment terms at any time.

Payments may be processed by third-party payment providers. Your use of those services may be subject to their own terms and policies.

9. Creator Monetization

HookFlix may offer creators opportunities to earn revenue through subscriptions, paid content, advertising, licensing, IP transactions, platform rewards, or other monetization models.

Creator payments may be subject to:

Platform commissions;

Taxes and withholding;

Minimum payout thresholds;

Payment processing fees;

Refunds, chargebacks, fraud reviews, and policy compliance;

Separate creator agreements or revenue-sharing policies.

HookFlix may withhold, delay, adjust, or deny payments if we reasonably believe there is fraud, invalid activity, copyright infringement, account abuse, payment dispute, legal risk, or violation of these Terms.

10. Advertising and Promotions

HookFlix may display advertisements, sponsored content, promotional offers, or branded content.

You agree that we may show advertising in connection with the Services, including before, during, or after content.

Creators and advertisers are responsible for ensuring that advertising materials comply with applicable laws, platform rules, intellectual property rights, consumer protection laws, and advertising standards.

11. Prohibited Conduct

You agree not to:

Violate any law, regulation, contract, or third-party right;

Upload, publish, or distribute infringing content;

Upload illegal, violent, hateful, sexually exploitative, abusive, defamatory, deceptive, or harmful content;

Impersonate another person or entity;

Misrepresent ownership, licensing rights, revenue rights, or identity;

Interfere with the operation or security of the Services;

Reverse engineer, scrape, copy, crawl, or extract data from the Services without permission;

Use bots, scripts, automated tools, or unauthorized APIs;

Circumvent payment systems, geographic restrictions, access controls, or security measures;

Manipulate views, likes, rankings, ads, payments, or platform metrics;

Use HookFlix to distribute malware, spam, phishing, or fraudulent schemes;

Use the Services to train competing AI models without written permission;

Exploit minors or collect information from minors unlawfully.

12. Intellectual Property of HookFlix

HookFlix owns or licenses all rights in the Services, including software, technology, platform design, interfaces, databases, algorithms, trademarks, logos, text, graphics, features, and business methods.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or exploit HookFlix intellectual property without prior written permission.

No rights are granted to you except as expressly stated in these Terms.

13. Copyright Complaints and DMCA

If you believe that content on HookFlix infringes your copyright, you may submit a notice containing:

Your name and contact information;

Identification of the copyrighted work;

Identification of the allegedly infringing material;

A statement that you have a good-faith belief the use is unauthorized;

A statement that the information is accurate and, under penalty of perjury, that you are authorized to act;

Your physical or electronic signature.

14. Privacy

By using HookFlix, you acknowledge that we may collect, use, store, and process information as described in the Privacy Policy.

15. Third-Party Services

HookFlix may integrate or link to third-party services, including payment processors, app stores, cloud providers, AI providers, analytics tools, advertising networks, social media platforms, and external websites.

HookFlix is not responsible for third-party services, content, policies, fees, or practices. Your use of third-party services is governed by their own terms and privacy policies.

16. Service Availability

We do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

We may suspend, restrict, or discontinue all or part of the Services for maintenance, updates, legal compliance, security issues, business reasons, or circumstances beyond our control.

17. Termination

You may stop using the Services at any time.

HookFlix may suspend or terminate your access to the Services at any time if:

You violate these Terms;

You create legal, security, or business risk;

Your content infringes third-party rights;

Your account is involved in fraud, abuse, or invalid activity;

We are required to do so by law or platform policy.

After termination, certain provisions will continue to apply, including intellectual property, payment obligations, disclaimers, limitation of liability, indemnification, and dispute resolution.

18. Disclaimers

The Services are provided on an “AS IS” and “AS AVAILABLE” basis.

To the maximum extent permitted by law, HookFlix disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.

HookFlix does not guarantee that:

The Services will meet your expectations;

Content will be accurate, lawful, or available;

AI-generated content will be original, unique, copyright-free, or commercially usable;

Creator monetization will produce revenue;

IP marketplace transactions will be successful;

Any user, creator, partner, or listing is trustworthy, verified, or legally authorized.

You use the Services at your own risk.

19. Limitation of Liability

To the maximum extent permitted by law, HookFlix and its affiliates, officers, directors, employees, contractors, licensors, partners, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including lost profits, lost revenue, lost data, loss of goodwill, business interruption, or content loss.

HookFlix’s total liability for any claim shall not exceed the greater of:

The amount you paid to HookFlix in the twelve months before the claim arose; or

USD $100.

Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.

20. Indemnification

You agree to defend, indemnify, and hold harmless HookFlix and its affiliates, officers, directors, employees, contractors, licensors, partners, and agents from and against any claims, damages, liabilities, losses, costs, and expenses arising from:

Your use of the Services;

Your User Content;

Your AI-generated content;

Your IP listings, licensing activities, or marketplace transactions;

Your violation of these Terms;

Your violation of law or third-party rights;

Your fraud, misconduct, negligence, or misrepresentation.

21. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles.

Unless otherwise required by applicable law, disputes shall be resolved in the state or federal courts located in California.

22. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may notify you by posting the updated Terms on HookFlix, sending an email, or using other reasonable methods.

Your continued use of the Services after the updated Terms become effective means you accept the revised Terms.
